Default Negotiating a deal headsup

Short version.... I end up headsup in a Satellite to win a seat in an event I can't play. We have even stacks and are playing pretty evenly. Since I don't want to win anyhow, how do you bring up a deal to get some $$ and let him have the seat ??

We're in the middle of the poker room, sitting next to the dealer, manager watching, and there's at least 40 people standing right behind us watching; and there are no breaks. I had no idea how to bring up the subject; it felt like I was suggesting something dishonest.

Is there an etiquette here, or some key phrase ??

I'm actually curious about this myself.
Additionally, what is the general rule for dealmaking for cash prizes?
Is it usually based simply on the chip ratio? or
Does the leader get some extra extra cash because he's more than likely to eliminate the short stack?

A deal is exactly that - a deal between the remaining participants.

Usually yes, the leader does recieve the highest percentage of the prize pool remaining, but that would make sense. Just remember, unless there is a tournament or house rule against deals or dealmaking at the table, it would be fine to ask your opponent for a chop. It's also OK to say no to any deal you don't want to take. Remember, it's a tournament - if you think you can win - don't take the deal.

Just say to the other player "want to chop it". Even if you're behind on chip count offer to chop it evenly. You'll be amazed at how many people will accept. Of course there are some who will not chop at all no matter what.

One night at FW in the very lucrative Tuesday night tourney it was heads up between a first timer who had 80% of the chips and a grizzled veteran. The newbie asked him if he wanted to chop it(and this was a 50/50 chop) and the vet snarled back "I don't chop".

Well, the newbie won and the next week I saw the vet and asked him why he didn't chop and he said that he thought he could beat the guy because he was terrible and that he just got lucky and he really should have won, etc, etc.

I thought it was pretty stupid and arrogant but different strokes for different folks. BTW, some places like FW don't recognize deal making but they will look the other way and let you do it. You will actually have to play it out and let someone lose and settle up after the payout.

There is a little danger in this as the Casino won't back you up if the guy reneges but I've never seen or heard of this happening where I play.
