UB feel that the PokerShare model contravenes certain SEC rules...that's the issue...or at least part of it

Please see my post a little lower. In my personal view, I think this is probably an interpretation by someone in power at either UB or PokerShare that the offering of "shares" to US customers without having the business registered with the SEC as a foreign issuer violates the US Securities laws, in short.
