Default Preflop Scenario (hypothetical)

Friend of mine and I were sitting in a very soft 20/40 game yesterday where all 6 opponents were playing extremely loose-passive. Although the situation never actually took place, it kind of almost did, so we had a minor argument about it:

I'm in the BB with AJo, my friend (solid, good) raises UTG and it's folded to me. I say it's a call (or a raise, HU we both like outplaying eachother if the situation is right), he says it's a fold. Any clear-cut answer?

(2) If there's a caller in between, does that change your answer?
