Default A good buy?

I'm looking at upgrading my motherboard and processor (currently a Intel (Tabor3) BX Motherboard R3 motherboard and PIII 800Mhz processor) ... I'm thinking of getting this Asus K8V SE Deluxe Socket 754 ATX Motherboard with AMD Athlon 64 3200+ Processor and Ultra 512MB DDR Memory

I ask here because, well, I've seen some truly genius responses to computer questions in this forum in regards to upgrades and what not. The PC will mostly be used for web surfing, 2-4 tabling (i'm a wuss and can't 2342432 table like the rest of you) with pokertracker and gametime+ and winamp

good buy or is there something better for the price?

I've heard it a couple times that ASUS makes a really good board... but I'm a little worried about the AMD processor because it's 64bit... winxp and all my applications should still run on it right?
