I think you can discount your outs enough to fold. CO's waking up on the turn is a little bit scary (a slowplayed TT is a possibility), and in any event your overcards probably aren't worth much at this point (AQ is also possible for CO, and UTG+1 is at least trying to represent a queen).
Plus, as Harv points out, the J [img]/images/graemlins/spade.gif[/img] may not help you even if your other gutshot outs are clean (perhaps it's the spades that prompted SB to cold-call on the turn).
